La question du gouvernement des entreprises (GE) est le plus souvent abordée dans une perspective normative et réformatrice qui conduit par exemple à des prises de position, telles celles contenues dans le rapport Viénot. On prétend souvent que les entreprises françaises seraient dominées dans la lutte concurrentielle internationale en raison des défaillances de leur système de gouvernement qui laisserait trop de latitude aux dirigeants et conduirait à une allocation inefficace des ressources.
